TERMS AND CONDITIONS GOVERNING PARTICIPATION IN THE GREENCELL PROMOTIONAL UNLIMITED FREE TRAVEL COMPETITION
  1. INTRODUCTION
            Greencell Mobility Private Limited (“Company”) is undertaking a promotional campaign – [?] (“Promotion”), as a part of which all Eligible Participants during the Offer Period, will qualify for the benefits in accordance with these Terms and Conditions.
  1. DEFINITIONS
    1. “Eligible Participants” means the passengers who satisfy the conditions and requirements specified in Schedule 1 of these Terms and Conditions.
    2. “Ineligible Participants” means employees, officers, directors and relatives of such employees, officers, directors of the or its partners, agents and franchise.   It shall also include any travel agent or agency making a booking on behalf of any passenger(s).
    3. “Offer Period” means the period commencing from [?] am/pm on [?] and ending on [?] am/pm on                                                                                                                                               [?].
    4. “Promotion” means the entire process of the promotional campaign including all elements, rounds, activities from the time of advertising and registration till the disbursement of Rewards, if any, which shall be governed by these Terms and Conditions.
    5. “Relatives” shall have the meaning prescribed under the Companies Act, 2013.
    6. “Reward” means the prize, gift or coupon awarded to the Eligible Participant who wins the lucky draw competition in accordance with these Terms and Conditions.
    7. “Terms and Conditions” means these Terms and Conditions governing the Promotion, stated herein in entirety, as may be amended from time to time by the Company.
 
  1. PROMOTION

The details of the Promotion are more particularly set out in Schedule 2 of these Terms and Conditions.

 

  1. ADDITIONAL TERMS
    1. The entry to this Promotion and the Reward is non-exchangeable, non-transferrable and are not cashable and Company will not be liable for any taxes or charges arising from the same.
    2. The Reward cannot be combined with any offer of the Company.
    3. In the event the Reward is misused or abused by the Eligible Participant, the Company shall immediately cancel or disable the Reward in its sole discretion. The Company shall not be liable to refund any amount in such cases.
    4. Each Eligible Participant shall be eligible to receive only one Reward during the Offer Period. [ELP Comment: Greencell to confirm if a cap on the Reward is acceptable. The cap can also be limited to a monthly basis.]
    5. The participation by the Eligible Participants in the Promotion shall also be subject to the Company’s terms and conditions available at [?] (“CoC”). Nothing in these Terms and Conditions shall supersede anything contained in the CoC. In the event of any conflict or inconsistency with the CoC, the CoC shall prevail.
    6. The Promotion is not applicable in the state of Tamil Nadu.
 
  1. INFORMATION FURNISHED BY THE ELIGIBLE PARTICIPANT
    1. All information requested by and supplied to the Company by the Eligible Participants must be truthful, accurate and in no way misleading and shall be provided within the timelines indicated by the Company. 
    2. The Company reserves the right to disqualify anyone, in case a discrepancy is found to exist in the information furnished by the Eligible Participants. The Eligible Participant undertakes, warrants and guarantees to the Company that the Eligible Participant has the full legal capacity and is not disqualified in any manner to participate in the Promotion in accordance with these Terms and Conditions
 
  1. PERSONAL DATA

By participating in this Promotion, each Eligible Participant consents to having personal data, including but not limited to Aadhaar, collected from him/her by the Company, which personal data may be transferred, and will be used and disclosed by Company and its authorized agents for purposes of Promotion administration and Promotion item/Reward fulfillment. By entering, each Eligible Participant consents to the collection, use and disclosure of his/her personal data as described in these Terms and Conditions. Except as otherwise stated in these Terms and Conditions or under the CoC, personal data collected from Eligible Participants by the Company is subject to the Company’s Privacy Policy at [?].   1. LIMITATION OF LIABILITY
    1. By participating in the Promotion each Eligible Participant agrees, to the maximum extent allowable under applicable law, to release, indemnify and hold harmless the Company, its employees, officers, sub-contractors or any other person (“Indemnified Parties”) from and against any and all liability whatsoever for any injuries, losses, or damages of any kind arising from, or in any way connected with, participation in the Promotion, any Promotion-related activity, or the shipping, handling, receipt, possession, loss, use or misuse of any Reward.
    2. At any time, the Indemnified Parties shall not be liable for any special, incidental, indirect, punitive, exemplary or consequential damages, whether by statute, at law or in equity, and whether based on contract, tort, negligence (whether active or passive), strict liability, statute or otherwise and arising from any cause whatsoever.
    3. The Indemnified Parties shall not be liable for any failure of any technology / server / system / internet, or any corrupt data / information / incomplete registrations submitted by Eligible Participant.
    4. The Company shall not be liable for any failure to comply with its obligations under these Terms and Conditions where the failure is caused by any reason beyond its control.
 
  1. GOVERNING LAW AND JURISDICTION
           These Terms and Conditions shall be governed by and construed in accordance with the laws of India and the Eligible Participant submits irrevocably to the jurisdiction of the courts in Mumbai.  
  1. SEVERABILITY
            If any provision of these Terms and Conditions is held by any court or other competent authority to be void or unenforceable in whole or part, the other provisions of these Terms and Conditions and the remainder of the affected provisions shall continue to be valid.  
  1. MISCELLAENOUS.
    1. By registering and participating in the Promotion, the Eligible Participants acknowledge that they have agreed to be bound by these Terms and Conditions.
    2. By participating in the Promotion, the Eligible Participant provides the Company with permission to send SMSs to or call him / her for promotional and other materials for the Company, whether or not such sender is registered on the National Do Not Call registry.
    3. The Eligible Participant acknowledges that his/her right to participate in the Promotion shall in no way guarantee a right to any Reward. All award decisions shall be at the discretion of the Company.
    4. The Company will not entertain and permit the Eligible Participant or any of their representatives to check / audit / challenge the logic of the randomizer or selection software.
    5. Non-conformance by any Eligible Participant to these Terms and Conditions will disqualify him/her from participation or the receipt of any Reward, immediately, as the case may be.
    6. The Company reserves the right to amend (add, delete or modify) these Terms and Conditions or modify, temporarily discontinue or terminate the Promotion, at its discretion and without prior notice.
    7. In the event of death/disability of the Winner, no claim from the nominee or his/her legal heirs of the Winner shall be entertained for receiving the reward.
    Schedule 1 Eligible Participant
  1. Any person who purchases bus tickets (through NueGo or its affiliates’ app or website, agent or through any other website online or offline) (“Booking”) for travel on a NueGo branded bus on a pre-defined route (“Customer”) may be eligible for participating in the Promotion.
  2. On completion of the booked journey, the Customer will receive a link with a question on the mobile number and/or email provided by the Customer at the time of making the Booking. The link will be valid only for one time use. The Customer shall answer the question within 24 hours of receiving the link. Only one link will be generated against one Booking/PRN, even if multiple seats have been booked under the same Booking/PRN.
  3. Upon correctly answering the question, the Customer shall be signed up for the Promotion (“Eligible Participant”).
  4. In the event the Customer is a minor, the minor’s parent or guardian would agree to these Terms and Conditions on behalf of the minor. The minor’s parent or guardian would be deemed to be the Eligible Participant is such a scenario.
    Schedule 2 Details of the Promotion
  1. Nature of the Promotion
    1. The Promotion shall be in the nature of a lucky draw.
    2. A raffle will be taken out internally by the Company and the winners shall be selected on a randomized basis from all the Eligible Participants (“Winner”).
 
  1. Results of the Promotion
    1. The results of the raffle would be announced by the Company on a [?] basis[ELP Comment: The frequency of the results should be indicated in the Terms and Condition.]
    2. The Winners would be intimated on the mobile number and/or email provided by the Customer at the time of making the Booking (“Intimation”).
    3. The Winners shall be required to complete and return a declaration of eligibility and the following documents within a period of 7 days from the Intimation in order to claim the Reward:[?]
    4. The documents specified in clause 2 above shall be emailed to [?] or submitted at the Company’s office located at [?].
    5. If a Winner is a minor, then the Reward will be awarded in the name of the minor’s parent or legal guardian, who will be responsible for signing any necessary documents.
    6. If the Winner cannot be contacted, is contacted and does not respond timely with all required information, or fails to claim the Reward as directed within the time allotted following attempted notification, refuses the Reward, is ineligible to accept the Reward, is otherwise not in compliance with these Terms and Conditions, or if the attempted Reward notification is returned as undeliverable, then the Reward will be forfeited and, at Company’s sole discretion, not awarded or awarded to an alternate winner by random drawing.
    7. An Eligible Participant is not a winner, even if a Reward notification is received, unless and until the Eligible Participant’s eligibility has been verified and the Eligible Participant is notified that verification is complete. Winners must continue to comply with these Terms and Conditions.
    8. The odds of winning a Reward will depend on the number of Eligible Participants. A total of [?] Rewards shall be awarded by the Company during the Offer Period.
 
  1. Rewards
    1. The Winners will be awarded a free bus ticket, which can be redeemed exclusively on the Nuego website or app to avail free travel on a route determined by the Winner (“Free Ride”). When the Winner makes a booking on the Nuego website or app, a popup will be displayed asking if the Winner would like to avail of the offer. The Winner shall accept the offer and redeem the Free Ride.
    2. The Winner can nominate another passenger as the winner if the other passenger’s seat was booked under the same PRN as the Winner. 
    3. The Reward shall be redeemed by the Winner within a period of [?] months from the receipt of the Reward in accordance with these Terms and Conditions.
    4. In the event the Free Ride is partially used or cancelled by the Winner after having made the booking, the Company shall be under no obligation to issue a refund against the Reward.
    5. The Free Ride can only be booked [fifteen (15) days] prior to the travel dates and shall always be subject to availability and at the discretion of the Company.
    6. All government rules and regulations will be applicable for travel on tickets issued for the Free Ride.
    7. In the event the Winner is denied travel due to breach of any applicable law, these Terms and Conditions or any other justifiable reason, no cost/liability shall be compensated to the Winner either directly or indirectly.
    8. Once the Free Ride has been booked, it cannot be transferred to any other route or rescheduled to any other date or time.
    9. The Company accepts no responsibility for any costs associated with the Reward and not specifically included in the Reward (including, without limitation, processing fee charged by banks, applicable taxes).
